By using Minnesota Estimating’s services, you agree to the following terms. These terms govern all interactions and transactions unless otherwise stated in a written agreement.

1. General Conditions

These terms replace all prior agreements unless amended in writing.

Definitions

  • Buyer: The client receiving services.
  • Seller: Minnesota Estimating.
  • Work: Includes estimating, consulting, and other tasks performed.
  • Preliminary Work: Refers to preparatory tasks or third-party services.
  • Electronic Files: Any digital materials exchanged.
  • Intellectual Property: Creations and associated rights of ownership.

2. Orders and Delivery

  • All orders confirm the Buyer’s acceptance of these terms.
  • Work is typically delivered electronically; storage and responsibility for distribution rest with the Buyer.
  • Delays, regardless of the cause, do not absolve the Buyer of payment obligations.
  • The Seller may deliver in parts, invoiced individually, with subsequent deliveries dependent on prompt payment.

3. Payment and Fees

  • Prices may fluctuate if the scope of Work expands.
  • All applicable taxes are the Buyer’s responsibility.
  • Fees for preparatory tasks apply even if final production is canceled.
  • Additional charges may be incurred due to delays or mistakes caused by the Buyer.
  • Payments are required upfront unless otherwise agreed upon under specific credit arrangements.

4. Credit Terms

  • The Seller reserves the right to withdraw credit facilities at any time.
  • Payment under credit terms must be completed within 30 days of the invoice date. Late payments attract interest.

5. Materials Provided by Buyer

  • Buyers must keep backups of supplied electronic files. The Seller isn’t responsible for verifying accuracy unless agreed.
  • If materials are deemed unsuitable, they may be rejected, and amendments may incur charges.
  • Any materials provided by the Buyer are stored at their own risk.

6. Materials Provided by Seller

  • Post-completion, non-digital materials may be discarded.
  • Seller-owned materials remain the property of the Seller unless stated otherwise.
  • Any machine-generated data shall not be provided to the Buyer unless explicitly agreed.

7. Approval and Variations

  • Buyers are responsible for reviewing and approving drafts or proofs before final production. Errors unnoticed by the Buyer are their responsibility.
  • Any requested changes to Work will result in additional fees.
  • Color deviations and slight production differences are not grounds for liability.

8. Risk and Insurance

  • Buyers are advised to arrange insurance for risks during transport, storage, and after delivery of Work.

9. Work Acceptance

  • Once Work is delivered, the Buyer has four (4) hours to report any issues. After this time, it is deemed accepted.

10. Liability Limits

  • The Seller is not accountable for indirect damages or lost profits.
  • The Seller’s financial liability is limited to the amount paid for the service being disputed.

11. Cancellation Policies

  • A cancellation fee may also apply.
  • Orders can only be canceled before Work starts. Costs already incurred will be chargeable.

12. Ownership and Retention of Title

  • Ownership of completed Work remains with the Seller until full payment is received.
  • Buyers must return the delivered Work if requested by the Seller in cases of non-payment.

13. Prohibited Activities

  • The Seller reserves the right to refuse services for any unlawful material.
  • The Buyer is responsible for indemnifying the Seller against claims resulting from illegal or infringing content.

14. Events Beyond Control

  • The Seller is not liable for delays caused by external forces like strikes, natural disasters, or technological failures.

15. Third-Party Limitation

  • These terms do not benefit any party other than the Seller and Buyer as per US law.

16. Governing Jurisdiction

  • All disputes are to be resolved under US law and through US courts.

  • The Buyer must provide detailed instructions and respond promptly to avoid service disruptions.

18. Data Privacy and Protection

  • The buyer is responsible for ensuring legal rights to personal data shared with the Seller.
  • Personal data is deleted on project completion, in compliance with applicable laws.
